BONHOEFFER TERMS & CONDITIONS OF USE

Farag Real Estate LLC DBA The Bonhoeffer (BONHOEFFER) desires to help create great meetings and events that allow our rental clients (RENTAL CLIENT) to strategize, organize and grow through using a productive meeting space without worrying about all the details.  The following terms and conditions of  use facilities agreement constitutes a short term rental of The Bonhoeffer space.

SECTION 1. Services

WHEREAS, Rental Client desires to engage Farag Real Estate LLC DBA The Bonhoeffer to use facilities of The Bonhoeffer meeting space for a period of time adhering to the following terms and conditions of use hereinafter set forth.

NOW, THEREFORE, in consideration of the premises and the covenants set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree as follows.

SECTION 2. Our Responsibilities

The Bonhoeffer agrees to provide a small format meeting space. The space rental fee includes:

  1. Private use of The Bonhoeffer Space
  2. Board Room (18 x 28 Feet)
    1. Eight (8) – 24×60 inch moveable training tables with seats for 16
    2. Logitech Rally Video Setup
    3. 85 Inch Samsung Smart TV
    4. 12 Feet of High Definition Glass Boards
    5. Minifridge stocked with water
  3. The Open Meeting Space (40 x 20)
    1. Pub table with 6 high top stools
    2. Leather Couch and Two Leather Chairs
    3. Credenza
    4. Minifridge stocked with soda and water
  4. Three (3) Private Bathrooms
  5. Outdoor Side Patio
    1. Lighted
    2. Outdoor furniture
  6. Sound
    1. Sonos sound throughout
  7. WIFI – 2gb Google High Fidelity Wifi Provided
  8. Glass Board Pens, Ink Pens, Note Pads
  9. Hot/Cold Water Station
  10. Parking is open (see parking section for more details)
SECTION 3. Your Responsibilities and Use of Space

To ensure the meeting space is respected, the rental client  is responsible for:

  1. The behavior of the guests at all times;
  2. Ensuring the safety of the guests and ensuring the hirer’s guests conduct themselves so as not to expose themselves to risk of harm;
  3. Ensuring the meeting space facilities and equipment are not left abused or in a damaged condition
  4. Rental client shall be required to set up and remove their own equipment and personal property at its own expense. The Bonhoeffer shall not be responsible for damage to or loss of any equipment or personal property used or left at the meeting space by rental client or any rental client events;
  5. Rental client shall not broadcast or telecast any portion of the event without the prior written consent of The Bonhoeffer.
  6. Rental client shall not use the name, logo, trademark, or trade name, of The Bonhoeffer or its affiliates or related companies, including “The Bonhoeffer” or “Fervor” in any printed, promotional or advertising materials, without The Bonhoeffer prior written consent;
  7. Rental client shall not publicize, or permit to be publicized, the event prior to execution of this agreement and rental client will be accurate and truthful in advertising the event.
  8. Rental client and rental client guests shall only use the exits and entrances in the parking lots and buildings as designated by The Bonhoeffer. Only those portions of the meeting space designated as permitted rooms and space herein shall be used by the rental client;
  9. Rental client shall obtain prior to the event all necessary licenses, permits and governmental approvals required in connection with the use of the meeting space;
  10. Rental client agrees at all times to conduct its activities with full regard to public safety, and will observe and abide by all applicable rules, regulations and requests by duly authorized governmental agencies responsible for public safety;
  11. The use of banners and signage requires The Bonhoeffer prior written consent;
  12. Any disposal of large bulk trash, crates, lumber, pallets, packing materials, oil and tape, shall be at rental client’s sole cost and expense;
  13. The method and location of special installations and decorations must be approved in advance by The Bonhoeffer. Decorations may not block doors, fire extinguishers, sprinklers, emergency equipment signage, or lighting systems. Decorating materials must be constructed of flameproof material. Glitter and confetti may not be used in the building;
  14. Rearranging and moving furniture, artwork, lamps, seating, and other furnishings shall be performed solely by The Bonhoeffer. No nails, screws, staples, or penetrating items shall be used on walls, wood, or other fine surfaces. All tape and gummed backing materials shall be properly removed by rental client and any damage to walls, wood, or other fine surfaces shall be repaired by The Bonhoeffer, the cost of which shall be paid by rental client.
  15. Rental client agrees there shall not be more than twenty (20) guests in attendance for any event. Any usage and guests above twenty (20) must get prior written consent from The Bonhoeffer;
  16. Rental client agree to comply with all federal, state and local laws, statutes, regulations, codes and ordinances in connection with use of the meeting space;
  17. Rental client agrees to comply with all rules or requirements of the local police and fire departments and is responsible for obtaining and paying for all permits and licenses required for rental client’s use of the meeting space;
  18. Rental client acknowledges and agrees that it shall comply with all occupancy requirements required by local law and shall pay for any fines, penalties, fees or costs incurred by The Bonhoeffer arising out of any violation of such laws during rental client’s use of the meeting space;
  19. Rental client assumes all responsibility for the actions and behavior of all persons present at, attending, or in any other way related to the event and agrees to be personally responsible for causing all such persons to comply with this agreement;
  20. Rental client shall leave the meeting space in the same condition as it was at the commencement of the event. Rental client shall be responsible for the cost of any repair for any damage, loss, breakage, and/or excessive or unusual cleaning required of the meeting space, due to rental client’s use of the meeting space within ten (10) days after the receipt of The Bonhoeffer written demand and an itemization of such costs.
SECTION 4. Prohibited Activities

Prohibited Activities. The following uses or activities are prohibited at the meeting space by rental client and its guests, invitees, licensees, vendors, employees, and clients (“rental client guests”):

  1. Any illegal, unlawful, immoral, disorderly, violent or criminal conduct or activity;
  2. The sale, use, possession or distribution of illegal substances or illicit drugs;
  3. Any dangerous activity or any activity that is a fire or health hazard;
  4. Rental client shall not use nor permit the use of open flames, or any fire of any kind in or around the meeting space, including, the use of fireworks, explosive devices, or pyrotechnics;
  5. Unreasonably loud noise or music within the building or outside of the building;
  6. No smoking or use of tobacco products is permitted inside the building;
  7. Disrespectful or disorderly conduct (to other guests, vendors, or The Bonhoeffer staff);
  8. Use of alcohol without express permission from The Bonhoeffer;
  9. Use of recreational wheeled/skating devices (i.e., scooters, hoverboards, “heelys,” skateboards, bicycles, etc.). Mobility scooters and power wheelchairs are permitted;
  10. Animals are prohibited on the meeting space, except in conjunction with an approved exhibit, display or performance. ADA service animals (e.g., guide dog, signal dog) or any other animal individually trained to provide assistance to an individual with a disability are allowed in the meeting space. Rental client is responsible for all sanitary needs for animals.
SECTION 5. Cancellations and Termination By Us

The Bonhoeffer may cancel your booking and thereby terminate this agreement at any time when incidents occur which are deemed outside our control and affect the meeting space’s ability to provide the services for which it was agreed to. Any deposits paid will be refunded to you. However, should we cancel or stop the event for any of the following reasons, no deposits will be refunded. If you, your guests or any other persons permitted entry into the meeting space by you or someone on your behalf do not comply with any of the conditions, requirements or restrictions referred to in this agreement. If you materially breach this agreement.

SECTION 6. Cancellations and Termination By You

Rental clients can cancel for any reason up to three (3) days prior to the event without incurring any fees and a full refund will be issued. From 3 days until 24 hours before the event a 50% cancellation fee may apply. Less than 24 hour notice will result in a full charge for the meeting space reservation.

SECTION 7. Pricing and Costs

Fees and prices will be as outlined in the online confirmation agreement. Any subsequent requests for additional goods or services will be added to your final invoice, with full payment for the space due upon booking and any ancillary or additional services due no later than 7 days after the meeting event.

The Bonhoeffer will keep a credit card on file for any incidentals, deposit and any other charges.

The advance payment is not a damage/security deposit, damage or cost arising from misuse will be immediately billed. We reserve the right to charge an administration fee on all accounts which are not settled and require attention.

SECTION 8. Your Liability

Rental client will be liable for all liabilities, losses and costs which we may incur directly or indirectly as a result of a breach by you of this agreement, your actions or equipment or the actions or equipment of any of your guests or any persons permitted entry in the meeting space by you or someone on your behalf, including the death of or injury to any person and the damage to any property (including property owned by the meeting space). To the maximum extent permitted by law, The Bonhoeffer will not be liable to you or your guests or any other persons permitted entry into the meeting space by you or by someone on your behalf, for any loss, cost, injury or damage suffered or incurred by you or such other person in connection with or arising out of:

  1. Any act, omission, error, default or delay by our employees, agents or subcontractors;
  2. Any cause beyond our reasonable control or
  3. Any act or omission by you or any other third party; except to the extent that such loss, cost, injury or damage is caused by our negligence or wilful default. Without limitation, this includes any loss or damage to property brought into or left at the meeting space prior to, during or after your event and any loss or damage arising out of the catering services or your equipment (or the equipment of your guests or any other persons permitted entry into the meeting space by you or someone on your behalf, whether the damage or loss is suffered before during or after your event.
SECTION 9. Arrival & Departure

Arrival time is 30 min prior to core rental time, confirmed via online booking confirmation. A code will be provided for your entry into the space. Please do not enter your rental early without permission.

For earlier arrival or later departure additional fees may apply.

SECTION 10. Arrival Condition

the meeting space is inspected for cleanliness before your arrival. Please report anything that is not in acceptable condition within one hour of your arrival to [email protected]. Anything not reported in that time frame will be deemed acceptable.

SECTION 11. Parking

Rental clients will have access to open parking at the front of The Bonhoeffer, approximately 13 open spaces. There is available street parking along 31st street. Other lots are private and not open to use without express written permission. Rental clients may be subject to parking rules, regulations or policies as adopted and/or enforced, rental clients are expected to be aware of, and fully comply with, such parking rules, regulations or policies. The Bonhoeffer, does not assume any liability or responsibility for any damage or costs incurred by any rental clients for their or their guests vehicles in any way.

SECTION 12. Force Majeure

Neither party shall be liable for any default due to any act of God, war, terrorism, strike, lock out, industrial action, fire, flood, storm or other event beyond the control of either party.

SECTION 13. Indemnification

Rental client hereby indemnifies, defends, releases, and holds The Bonhoeffer (and its officers, directors, The Bonhoeffer’s, agents employees, and contractors) harmless for, from, and against, any and all liability, damage, lawsuit, claim, obligation, and loss of any kind, arising out of Rental Clients or its guests failure to comply with this agreement, and/or in connection with any damage or injury to persons or property, including death, in connection with the Rental Client’s or their guests use of the meeting space, except for such damage or injury caused solely and directly by the negligence or willful misconduct of The Bonhoeffer.

SECTION 14. Insurance

Rental clients will carry liability insurance and, if requested, name Farag Real Estate LLC DBA The Bonhoeffer as additionally insured delivering a certificate of insurance.

SECTION 15. Survival

In the event of termination or upon expiration of these terms, other sections hereof will survive and continue in full force and effect.

SECTION 16. Modification

These terms set forth represent the entire understanding of the parties with respect to the subject matter hereof, supersede all existing terms between them concerning such subject matter, and may be modified only by a written instrument duly executed by each party.

SECTION 17. Assignment

The Bonhoeffer shall have the right, at its election, to assign any of The Bonhoeffer’s rights and obligations hereunder, in whole or in part, to any subcontractor, subsidiary, affiliated, or related company, or to any person or entity owing or acquiring a substantial portion of The Bonhoeffer’s stock or assets (by purchase, merger, operation of law or otherwise), if such person or entity agrees in writing to assume and be bound by all of the obligations of The Bonhoeffer under these terms.

SECTION 18. Attorneys’ Fees and Costs

In the event of any action, suit, or proceeding arising from or based upon these terms brought by either party hereto against the other, the prevailing party shall be entitled to recover from the other its attorneys’ fees in connection therewith in addition to the costs of such action, suit, or proceeding.

SECTION 19. Governing Law and Jurisdiction

These terms shall be governed by and construed and enforced in accordance with the internal substantive laws of the State of Missouri, without regard to its conflicts of laws principles. All disputes arising out of or with respect to these terms shall be heard exclusively, in the courts state and Federal, located in Kansas City, Missouri, and each of the parties expressly consents to the jurisdiction and venue of such courts.
